    IDO Healthiness 健康管理配對平台之服務條款及細則 Terms and Conditions
    本服務條款及細則(下稱「本協議」)適用於 IDO Healthiness 健康管理配對平台健康管理配對平台(由香港註冊之有限公司 IDO INTERNATIONAL HEALTH LIMITED運營,下稱「本公司」或「平台」)所提供的所有網頁、表單及配對服務。不論您是尋求健康管理的個人(下稱「用戶」或「客戶」),或是申請入駐的健康從業者/機構(下稱「健康專家」),當您訪問本平台、提交表單或勾選「我同意」時,即代表您已無條件接受本協議之所有約束。如果您不同意本協議,請立即停止使用本平台。
    This Terms and Conditions (hereinafter referred to as "this Agreement") applies to all webpages, forms, and matching services provided by IDO Healthiness ("the Platform") (operated by a Hong Kong registered limited company - IDO INTERNATIONAL HEALTH LIMITED, hereinafter referred to as "the Company" or "the Platform"). Whether you are an individual seeking health management (hereinafter referred to as the "User" or "Client") or a health provider/institution applying to join (hereinafter referred to as the "Health Experts or Professionals"), by accessing this Platform, submitting forms, or checking "I agree", you unconditionally accept to be bound by all terms of this Agreement. If you do not agree to this Agreement, please cease using the Platform immediately.
    【1. 平台定位與第三方中介性質 / Definition of Platform & Third-Party Agency Nature】
    1.1 非醫療機構聲明:IDO Healthiness 健康管理配對平台僅作為一個專注於健康及養生方面的第三方資訊分發與撮合平台。本公司並非註冊醫療機構,亦非藥物分發商。本公司不僱用任何西醫、中醫或受本港法律規管的臨床執業醫護人員以本公司名義進行執業。
    1.1 Non-Medical Institution Declaration: IDO Healthiness ("the Platform") operates solely as a third-party information distribution and matching platform hyper-focused on the wellness management sector. The Company is not a registered medical institution, nor is it a pharmaceutical distributor. The Company does not employ any Western medical practitioners, Chinese medicine practitioners, or clinical healthcare professionals regulated by Hong Kong law to practice in the name of the Company.
    1.2 資訊非醫學建議:本平台所呈現的任何文字、問卷反饋或人工配對建議,均屬於「非臨床」的純健康或養生分享與管理建議,絕對不構成任何醫學診斷、臨床治療、處方開具或疾病預防的意見。
    1.2 Information is Not Medical Advice: Any text, tags, questionnaire feedback, or manual matching recommendations provided on this Platform are for "non-clinical" wellness sharing and management advice purposes only, and absolutely do not constitute medical diagnosis, clinical treatment, prescription-writing, or disease prevention advice.
    1.3 用戶自主風險:用戶在使用本平台提供的人工篩選配對服務時,應明白健康管理方案具有高度個體化差異。平台的所有推薦及配對僅供參考,用戶應在採納任何健康專家提供的方案前,自行評估健康風險或諮詢其主治醫生。
    1.3 User’s Autonomy & Risk: Users acknowledge that health management protocols involve profound biological individuality. Recommendations by the Platform are for reference only. Users must evaluate health risks independently or consult their primary physicians or Practitioner before adopting any health protocol from a Health Experts or Professionals.
    【2. 責任限制與免責條款 / Limitation of Liability & Disclaimer】
    2.1 獨立第三方定性:本平台註冊入駐之健康專家均為獨立之第三方合同方。彼等與本公司之間不存在任何僱傭、合夥、合資、代理或特許經營關係。本公司雖對其基本專業資格進行形式上的甄選與核實,但對其後續諮詢服務之臨床效果、實效性、安全性、合法性不承擔任何明示或暗示的保證。
    2.1 Independent Third-Party Status: All Health Experts or Professionals registered on the Platform are independent third-party contractors. No employment, partnership, joint venture, agency, or franchise relationship exists between them and the Company. Although the Company performs formal credential vetting and verification, it offers no warranty, express or implied, regarding the clinical efficacy, safety, legality, or outcome of their subsequent consultation services.
    2.2 損害賠償之豁免:在香港特別行政區法律允許的最大範圍內,本公司對於任何用戶因採納健康專家之建議、調理方案、運動方案、生活干預或任何使用其推薦之產品而導致的任何形式之身體不適、疾病惡化、人身傷害、心理損害、精神損失、利潤或名譽損失等問題,概不承擔任何直接、間接、連帶、懲罰性或附帶的法律與民事賠償責任。
    Company shall not be liable for any physical discomfort, aggravation of illness, personal injury, psychological harm, mental distress, or loss of profits or reputation sustained by any User arising from or in connection with the adoption or execution of any advice, protocols, exercise regimes, lifestyle interventions, or dietary supplements/health products recommended by the Health Experts or Professionals.
    2.3 總責任上限
    (a) 針對用戶/客戶:鑑於本平台向用戶提供之健康管理配對服務及社群諮詢均為免費,在法律允許的最大範圍內,本公司對任何用戶因使用本平台或配對服務而引起的任何損失,不承擔任何賠償責任,其賠償上限在任何情況下均為港幣零元(HK$0)
    (b) 針對健康專家:本公司向任何健康專家承擔之累計最高賠償金額(不論是基於合約、侵權或疏忽),在任何情況下均不得超過該健康專家在爭議發生前,實際向本公司支付之最近一期(單月)平台訂閱費用。
    2.3 Cap on Liability
    (a) (For Users/Clients)Given that the matching services and community consultations provided to Users are entirely free of charge, to the maximum extent permitted by law, the Company shall have no liability to any User for any loss. The Company’s cumulative maximum liability to any User shall under all circumstances be capped at Zero Hong Kong Dollars (HK$0).
    (b) (Health Experts or Professionals)The cumulative maximum liability of the Company to any Health Expert (whether in contract, tort, or negligence) shall under no circumstances exceed the actual platform subscription fee paid by the said Health Experts or Professionals to the Company for the single (1) month immediately preceding the occurrence of the dispute.
    【3. 健康專家的陳述、保證與責任 / Health Experts or Professionals’ Representations, Warranties & Indemnity】
    3.1 資格真實性保證:申請入駐本平台的健康專家在此向本公司陳述並保證:其所提交之學歷、註冊證書、執業資格、個人工作履歷均為真實、最新且無法律爭議。健康專家承諾僅在其法定及專業核准之執業範圍內提供服務,嚴禁進行任何越界醫療行為(例如非法行醫或非法開具受規管藥物)。
    3.1 Warranty of Credentials: Health Experts or Professionals applying to join the Platform hereby represent and warrant to the Company that all academic credentials, registration certificates, licenses and personal resume submitted are genuine, current, and legally undisputed. Health Experts or Professionals commit to offering services strictly within their legally and professionally permitted scope of practice, and are strictly prohibited from engaging in any unauthorized medical practices (such as illegal medical practice or unlawful prescription of regulated substances).
    3.2 平台徹底免責與爭議無關性: 用戶與健康專家明確理解並同意,本平台之服務僅限於資訊配對。任何因健康諮詢、調理方案、執業過失、醫療事故或越界執業所引起的爭議、糾紛、索賠或訴訟,均屬於用戶與健康專家雙方之間的獨立法律關係,與本公司及平台無涉。用戶在此無條件且不可撤銷地放棄因上述糾紛而對本公司、平台、其股東、董事或僱員提起任何訴訟、仲裁、行政投訴或索賠的權利。若用戶違反本條約強行向本公司起訴或索賠,本公司有權引用本條款要求法院立即駁回起訴,且該用戶與相關健康專家須共同及連帶承擔本公司為此支出的一切法律抗辯費用、全額律師費及因此造成的名譽損失。
    3.2 Absolute Platform Indemnity and Irrelevance to Disputes: The User and the Practitioner explicitly acknowledge and agree that the Platform's services are strictly limited to informational matching. Any controversies, disputes, claims, or lawsuits arising from wellness consultations, protocols, malpractice, clinical incidents, or unauthorized practice shall be resolved solely within the independent legal relationship between the User and the Health Experts or Professional, and are entirely irrelevant to the Company and the Platform.
    The User hereby unconditionally and irrevocably waives any and all rights to initiate any lawsuit, arbitration, administrative complaint, or claim against the Company, the Platform, its shareholders, directors, or employees resulting from such disputes. Should the User breach this provision by bringing any claim against the Company, the Company reserve the right to present this Clause for immediate dismissal of such claims, and the User, together with the involved Health Experts or Professionals, shall be jointly and severally liable to fully indemnify the Company for all legal defense costs, actual attorney’s fees, and any consequential loss of reputation.
    【4. 三方關係與金流完全獨立性 / Tripartite Relationship & Absolute Financial Independence】
    4.1 服務合同與交易之獨立性: 具體的健康管理或養生服務合同及所有資金交易,僅存在並發生於健康專家與客戶雙方之間。本公司之服務僅限於向健康專家收取固定之每月訂閱/會員費用,並在用戶同意後為雙方提供資訊鏈接。本公司並非該服務合同的合約主體,亦從不經手、代收、託管或處理客戶與健康專家之間的任何交易款項。
    4.1 Independence of Service Contract and Transactions: The actual wellness management service contract and all financial transactions shall exist and take place strictly and exclusively between the Health Experts or Professionals and the Client. The Company’s service is limited solely to collecting a fixed monthly subscription/membership fee from the Health Experts or Professionals and facilitating the informational connection after obtaining the User's consent. The Company is not a party to the said service contract and never handles, collects, holds in escrow, or processes any transaction funds between the Client and the Health Experts or Professionals.
    4.2 費用商討與退款糾紛之免責: 平台所提供或告知之收費標準僅供初步參考。健康專家與客戶擁有完全之自主權,自行商討、確認並結算最終的服務費用。任何關於收費金額、支付方式、諮詢質量、服務時間、取消預約或退款之要求與糾紛,客戶與健康專家應直接自行處理,與本公司無涉。本公司不對專家的收費行為、拒絕退款或任何金流欺詐承擔任何墊付、擔保或民事賠償責任。健康專家向本公司支付的平台每月訂閱費用,一經收取,在任何情況下均不予退還。
    4.2 Disclaimer on Fee Negotiation and Refund Disputes: Any standard rates provided or informed by the Platform are for preliminary reference only. The Health Experts or Professionals and the Client retain absolute autonomy to negotiate, confirm, and settle the final service fees independently. Any requests, complaints, or disputes regarding payment amounts, payment methods, service quality, scheduling, cancellations, or refunds shall be handled directly and privately between the Client and the Health Experts or Professionals, and are entirely irrelevant to the Company. The Company bears no liability, guarantee, or civil responsibility for the Health Experts or Professionals' billing behavior, refusal to refund, or any financial misconduct. All monthly subscription or membership fees paid by the Health Experts or Professionals to the Company are strictly non-refundable under any circumstances once collected.
    4.3 專屬 WhatsApp 社群免責聲明:本公司針對特定領域開設之 WhatsApp 社群、群組及討論板塊(下稱「社群」),僅作為第三方健康資訊交流與科普分享之渠道。社群內由健康專家、其他用戶或任何第三方發表之言論、建議、文章或回覆,均屬其個人觀點,不代表本公司之立場,亦不構成平台的醫學背書。本公司不對社群內資訊的即時性、準確性或安全性進行即時監控或審查。用戶因採納社群內任何言論而導致的任何損失,本公司概不負責。
    Disclaimer on WhatsApp Communities:Any WhatsApp communities, groups, or discussion boards (collectively, "Communities") operated by the Company for specific fields serve solely as channels for third-party health information exchange and scientific sharing. Any statements, advice, articles, or replies posted within the Communities by Health Experts or Professionals, other Users, or any third party represent their personal views only, do not represent the position of the Company, and do not constitute medical endorsement. The Company does not actively monitor or review the timeliness, accuracy, or safety of the information in the Communities. The Company shall not be held liable for any loss resulting from the adoption of any statements made within the Communities.
    【5. 個人資料(隱私)收集聲明 / Personal Data (Privacy) Collection Statement】
    5.1 合規聲明:本公司嚴格遵守香港法例第486章《個人資料(私隱)條例》。用戶及健康專家提交的姓名、聯絡方式、健康需求或期望、個人生化報告等隱私資訊,僅用於平台進行人工篩選配對及與之直接相關的營運用途。
    5.1 Privacy Compliance: The Company strictly complies with the Personal Data (Privacy) Ordinance (Chapter 486 of the Laws of Hong Kong). All private data submitted by Users and the Health Experts or Professionals, including names, contact info, health issues or needs or expectations, and biological credentials, shall only be used for manual screening, matching, and directly related operational purposes.
    5.2 資料披露豁免:客戶明確授權並同意,本公司為了完成配對之目的,有權將客戶在表單中勾選的健康需求/期望及去隱私化之基本資料披露給潛在的健康專家。本公司承諾採取合理的加密防護措施,但對於因不可抗力或第三方惡意黑客攻擊導致的資料洩漏,本公司在法律允許範圍內免責。
    5.2 Consent to Disclose: Clients explicitly authorize and agree that the Company has the right to disclose the health issues or needs or expectations and de-identified profiles submitted in their forms to potential Health Experts or Professionals for matching purposes. The Company promises to adopt reasonable encryption measures, but shall be exempted from liability within the scope permitted by law for data breaches caused by force majeure or malicious third-party cyberattacks.
    5.3 聯絡資料披露與社群授權
    客戶或用戶明確授權並同意,本公司為了完成配對之目的,有權將客戶提交之健康需求、姓名及 WhatsApp 聯絡電話披露給對接之健康專家。同時,客戶理解並同意,當其加入平台組織之 WhatsApp 社群或群組時,其 WhatsApp 帳號資訊(包括但不限於電話號碼、頭像、暱稱)將會對群組內之健康專家及其他群組成員公開。本公司不對群組內其他成員利用該等公開資訊進行的任何私下聯絡或行為承擔法律責任。
    5.3 Consent to Disclose & Community Consent:Clients explicitly authorize and agree that the Company has the right to disclose the health needs, name, and WhatsApp contact number submitted by the Client to the designated Health Experts for matching purposes. Furthermore, Clients understand and agree that when joining any WhatsApp communities or groups organized by the Platform, their WhatsApp account information (including but not limited to phone number, profile photo, and display name) will be visible to Health Experts or Professionals and other members within the group. The Company bears no legal responsibility for any private communications or acts initiated by other group members using such visible information.
    【6. 智慧財產權與管轄法律 / Intellectual Property & Governing Law】
    6.1 版權所有:本平台上所有獨創之高奢視覺設計、品牌商標、Slogan(「解碼養生,致力於健康。唯有純粹,方能精準。」)及本服務條款之文字,其智慧財產權均屬本公司所有。未經書面授權,嚴禁任何第三方進行抄襲、複製或用於商業投流。
    6.1 Intellectual Property: All original luxury visual designs, brand trademarks, Slogans ("Decoding Life. Committing to Healthiness. Purely Focused, Precisely Curated."), and the text of this Agreement belongs exclusively to the Company. Any unauthorized copying, reproduction, or commercial advertising usage by any third party is strictly prohibited.
    6.2 管轄法律與專屬管轄權
    本協議之解釋、效力、履行及糾紛解決均受香港特別行政區法律管轄。因本協議或本平台服務引起的、或與之相關的任何爭議、糾紛或索賠,雙方同意提交至香港法院享有專屬管轄權(Exclusive Jurisdiction)之法庭進行訴訟審理。
    6.2 Governing Law & Exclusive Jurisdiction:The interpretation, validity, performance, and dispute resolution of this Agreement shall be governed exclusively by the laws of The Hong Kong Special Administrative Region (HKSAR) . Any dispute, controversy, or claim arising out of or in connection with this Agreement or the Platform's services shall be submitted to the exclusive jurisdiction of the Hong Kong Courts.
